KAPA Meeting Notes June 23 2009 Part II

KAPA Commissioner, Shelly Zimbler, gave a verbal secretary report (accepted) - starting with the fact that three KAPA Commissioners had resigned in the last few months, including Colin Evans, Tim Morrison and Lisa Alt [All three FOPA members / the entire FOPA Board...].

Shelly Zimbler also spoke about a meeting that had been attended by five KAPA Commissioners - with Kingston City Mayor James Sottille. It was reported that the Mayor had a voucher made out ($400) for KAPA - for the specific purpose of youth programming - and that Mayor Sottille indicated that he (through the formal process / City of Kingston) might contribute $5,000 to KAPA - if Nicky Worner (sp? / Town of Ulster) did the same. [The issue of matching funds or reasonable contributions (in regard to the smaller townships) from the other municipalities involved in KAPA has come up numerous times; I'm not going into the history of all of that...]

Shelly Zimbler indicated that Mayor Sottile had also offered to help access a truck and volunteers in order to help out during KAPA's projected move into a new facility [a contract (there are unanswered question regarding this...) has reputedly been signed - via FOPA - with what has been termed the 7-21 building or Ellenbogen (sp?) building (The former home of RNN?) - for use as a KAPA studio] ---

But in terms of all of the above --- Mayor James Sottile (here you have it :) had also asked for more financial [presumably regarding KAPA and FOPA] transparency.

[Friends of Public Access (FOPA) has subsequently - via Susan Holt (U.C. Executive Heins office) - been identified as a registered Non-Profit organization in the State of N.Y. However, no other information on FOPA was accessible (via a quick check by Ms. Holt) regarding FOPA; and, as has been noted previously, the members of FOPA (I have witnessed this and so have others) appear to evade answering direct questions (sometimes this is done by talking around the issue, sometimes by leaving a meeting early, etc.) regarding FOPA specifics; and at least one FOPA board member (see the next set of notes...) has made the claim that FOPA does not have to comply (?) with open meeting laws, etc.]

Commissioner and Temporary KAPA Chair, Bob Smith - gave the budget report for KAPA - which amounted to zip... as KAPA has no bank account or funds at its own disposal [Everything (in terms of money) is being handled [?????] by FOPA...]

[The last proposed (and admittedly idealistic) budget that the KAPA Commission has on file was made out by Bob Smith (acting as group treasurer / working in collusion with KAPA Commissioner Joe Marchetti) - with a copy submitted to (to the best of my knowlege) the members of the KAPA Commission, FOPA (if it was then in existance as such) members, the Safety and Cable Commission, the Kingston City Common Council members and Mayor Sottile.]

KAPA Commissioner Joe Marchetti asked if FOPA could help out with the budget report - as KAPA needs to know where they stand - what funds they are working with - etc. There was (at this point) no answer given [Perhaps (?????) because this was to be addressed later?]

Shelly Zimbler noted that Henry Ellenbogen (sp?) - the newly appointed KAPA Commissioner (not present) was (he is associated with the contracted usage of the Ellenbogen building, etc.) willing to help train and certify people (on the equipment) - and that this was a "bonus."

KAPA Commissioner Bob Smith's KAPA Treasurer report (KAPA balance on file: $0 / all funds are in a FOPA account, and KAPA reputedly needs "permission" and "approval" - to access these...) was accepted as given.

With that, I guess there is going to be a KAPA Meeting Notes Part III, so please stay tuned...

These meeting tend to go on (sometimes) for hours; there is rarely (hardly ever) a quorum present; very little ever seems to be agreed upon or accomplished during the meetings...; and it might appear to some other people (as it does to me...) that "all is not right" (in regard to the relationship between KAPA and FOPA...) "with the world")]

First Item on the Agenda: Open Speaking...

1. I read my prepared document (see threads below) and gave a copy to the KAPA Commissioners, FOPA Board Members and other individuals in attendance.

2. Lisa Alt [FOPA] contested the idea of a quorum change and/or change in bylaws regarding a quorum change - based (allegedly) on State and/or Federal Laws regarding same... [Ms. Alt would not provide a direct answer, however, as to who wrote / approved the current quorum rules or bylaws - she would only state, generically, the "Commission."]

3. Tim Morrison [FOPA] also contested the idea of a quorum change and/or a change in the bylaws regarding a quorum change - based (allegedly) on State and/or Federal laws regarding same. [Tim Morrison later (still in the meeting context) advised me (us?) to look up the "General Construction Law" - which he says dictates KAPA and/or FOPA rules regarding Bylaws and/or Quorums... I did so, and after wading through a number (ahem) of how to construct buildings and such laws... came across this:

Whenever three or more public officers are given any power or authority, or three or more persons are charged with any public duty to be performed or exercised by them jointly or as a board or similar body, a majority of the whole number of such persons or officers, at a meeting duly held at a time fixed by law, or by any by-law duly adopted by such board or body, or at any duly adjourned meeting of such meeting, or at any meeting duly held upon reasonable notice to all of them, shall constitute a quorum and not less than a majority of the whole number may perform and exercise such power, authority or duty. For the purpose of this provision the words “whole number” shall be construed to mean the total number which the board, commission, body or other group of persons or officers would have were there no vacancies and were none of the persons or officers disqualified from acting. As amended L.1948, c.320, eff. March 21, 1948. "

That said [If KAPA and/or FOPA are subject to the provisions noted above - it would appear to be a bit (61 years) out-dated...] --- Temporary Chairperson, Bob Smith noted that even with all of the Commissioners present at the meeting (barring the new appointee) - KAPA - under current reputed KAPA Bylaw and Quorum requirement restraints - could (This is with all current appointees present! See the problem here!) NOT claim a quorum, hold votes on any pertinent matters or move forward on any substantial motions!

There was reputedly no quorum at the last meeting either (and this appears to be the norm...) - which explains, in part, why very little appears to get accomplished at KAPA Commission meetings! [Bringing the potential issue of a needed revision of the KAPA bylaws and/or quorum requirements - as was put forth on Commissioner Bob Smiths' Agenda and on the paper I turned in (copy below) - as well.]

With that, I will end for now (There are more notes to cover) - except to state that I just received a call from U.C. Executive Michael Heins office - and that I will be following up on this issue from various (research / contacts / etc.) angles.

This is, primarily, a City of Kingston (also involving the other municipalities involved in KAPA) issue. However, it may be that Legislative changes [regarding, at the very least, this outdated and apparently - for KAPA purposes - law] might be called for.

2. The question as to who signed a contract between KAPA and FOPA? (Is there a signed contract? None of the current KAPA Commissioners have apparently even seen such a contract as of last night...) between KAPA and FOPA?

3. Is FOPA (which appears - in my opinion, and echoed by others - to evade any direct questions - and does not provide copies of contracts, receipts, etc. to KAPA...) helping or hurting the stated goals of KAPA?

Obama... Transparency in Goverment... You Tube... KAPA Meeting... FOPA... Document Turned In at Tonights Meeting

Notes on tonight's Kingston Area Public Access (KAPA) meeting are forthcoming. For tonight, I just want to post a copy (slightly modified for placement here) of the document that I provided to the KAPA Commissioners that were present - along with the Friends of Public Access (FOPA) Members that were present. Copies of this, with an explanation, have also been emailed to the Kingston City Mayor and a number of other (relevant / City and County) individuals. Copies are pending for members of the Kingston City Common Council.

Request for Documentation / Discussion / Possible Votes...


1. This is a request for specific Information regarding budget specifics for both Kingston Area Public Access (KAPA) and Friends of Public Access (FOPA) - inclusive of an accounting of any and all monies received (with sources noted) within the last year (June 2008 - June 2009); all monies spent (inclusive of copies of receipts) within that same time span; all monies (revenue) securely and definitely pending for July 1, 2009 - July 1, 2010; all monies tentatively pending for July 1, 2009 - July 1, 2010; current account balance information (Where are these accounts located? Under what or who's name? Are two people required to sign on to these accounts?); and projected monetary needs (line by line specifics) for July 1, 2009 through July 1, 2010.

A. What are the past and current mailing address for KAPA (If a P.O. Box is not currently active, could the KAPA Commission vote to establish one?]

B. What are the past and current mailing addresses for FOPA; when and where have FOPA meetings been held?; have FOPA meetings been open (Who has attended other than FOPA Board members?) to the public?]

2. Discussion / Possible Vote: Would it be in the best interest of KAPA to formally change the Quorum requirements [defining a quorum as 1/2 of the officially confirmed KAPA Commission members that are present at any given Commission meeting + 1] --- and change the KAPA Bylaws to reflect this change?

3. Discussion / Possible Vote: Would it be in the best interest of KAPA to dissolve the relationship (in all regards) that KAPA has with FOPA? [This would require that FOPA turn over any and all funds collected for KAPA to KAPA]

4. Could these matters [Around Documentation, Potential Quorum Vote and Potential Change in the KAPA Bylaws Vote] - in Particular - be handled in an pragmatic and expedient manner (all budgetary records and addresses, etc., should be on hand...)

5. Could KAPA (or an assistant) file for the Budget records, etc. that have been requested [if these are not submitted in a timely (2 Weeks?) manner] via the Freedom of Information Act --- and/or involve legal counsel (City of Kingston) - should such be necessary?

Revision of Bylaws --- 6/23/2009

"Formalities of Quorum"

Resolution #1-2009:

In the interest of common sense and logic the KAPA Commission defines (in its bylaws) a quorum as 1+ half of the appointed and existing (serving in a particular calender month) members of the KAPA Commission. This is to help in the reasonable course of decision-making and the administration of Public Access in a timely and efficient manner.

Be It Resolved:

A quorum for KAPA is to be half plus 1 of the appointed members of the Commission serving at that time.

For Example:

The City of Kingston needs 1 more appointee [Four Commissioners are currently serving / active]

The Town of Esopus has 1 appointee.

The Towns of Kingston, Hurley, Rosendale, Kingston and Marlboro currently have no active appointees.

Thus, there are currently Five active KAPA Commissioners --- and a quorum would equal half of that number (2) plus 1 (A total of Three)

"Quasi Government Commission" defined as:

1. Quasi: "as if, as it were... just as... in the sense of... in the manner of"

2. Government: "To administer... exercise authority over... direct or guide"

3. Commission: "Body of persons assigned to perform certain duties or tasks."

Freewrite... Cats in the Cradle... You Tube... Video from The White House Blog and You Tube... President Barack Obama... Responsible Fatherhood

Most of us are familiar with the following song - and life is so very, very busy and complex that one sometimes wonders - "how can I possibly be 'all things to all people?'"

The answer - the hard answer - is, of course, that we can't...

But making time for our children - in particular, during their young and vulnerable years - should (whenever humanly possible) be on the top of our priority list...

Personally - I think implementing a 30-hour work week (considered full-time with benefits) would be helpful in this regard - now that life is sooooooo complex - with so many professionals needing to stay on top of things (during their alleged "off" time) in the computer world (the news, Facebook, Twitter, blogs and such...) -

Which might mean (as a side benefit) more F/T (30 hr. work weeks) jobs for more people!

Whatever the case - parenting [there are also childcare (Affordable? Quality?) considerations; the need for fun and affordable family outlets, etc.) is a serious, serious, serious - and too often seriously undervalued (in regards to mothers and fathers) F/T job...

Which might sound a little "tacky" - put that way - to some...

But a wise man once said, "Love is Work"...

And mistakes, once made (I know something about this...) can-not always (no matter how hard one might try) be undone.

How many of us think... "I wish I knew then... what I know now?"

How can we encourage the next generation (this could be a personal and political question - regarding family-friendly legislation and policies...) to avoid the mistakes that we (Please remember the tale about "glass houses"...) have made?
